释义	法律分析：公司不能清偿到期债务，并且资产不足以清偿全部债务或者明显缺乏清偿能力的，由债权人或债务人向法院申请破产后，并依法由受理法院裁定后，才可以由法院宣布破产。所谓不能清偿，是指债务人对请求偿还的到期债务，因丧失清偿能力而无法偿还的客观财产状况，也称不能支付或支付不能。法律依据：《公司法》第一百八十七条，清算组在清理公司财产、编制资产负债表和财产清单后，发现公司财产不足清偿债务的，应当依法向人民法院申请宣告破产。公司经人民法院裁定宣告破产后，清算组应当将清算事务移交给人民法院。
