释义	法律分析：抵押和质押同为担保性的权利，抵押指的是将抵押物的占有进行转移的行为，而股权属于人身依附性的权利，是一种财产性的权利。股权的占有具有不可分割的人身依附性，因此，股权不能抵押。但是可以设定质押。法律依据：《中华人民共和国民法典》第四百二十七条设立质权，当事人应当采用书面形式订立质押合同。第四百四十一条以汇票、本票、支票、债券、存款单、仓单、提单出质的，质权自权利凭证交付质权人时设立；没有权利凭证的，质权自办理出质登记时设立。法律另有规定的，依照其规定。
