释义	分公司是可以变子公司的，但是需要总公司向工商局申请，经过工商局同意才可以。子公司在相关法律上独立于母公司，并拥有独立而完整的公司管理组织体系。分公司属于分支机构，在法律上、经济上没有独立性，仅仅是总公司的附属机构。分公司没有自己的名称、章程，没有自己的财产，并以总公司的资产对分公司的债务承担法律责任。因此分公司不具有法人资格，其民事责任由公司承担；子公司具有法人资格，依法独立承担民事责任。二者性质不同，分公司不可以直接转变为子公司。该内容由严达兴律师和法律部落共创回答
