释义	法律分析：股东派生诉讼，是指当他人侵害到了公司的合法权益，而公司没有行使诉权，特别是受到有控制权的股东、母公司等的侵害，是符合法定条件的股东，以自己名义为公司的利益对侵权人或者侵害人提起诉讼，追究其法律责任。有限责任公司的股东和股份有限公司持有公司百分之一以上股份的股东是连续一百八十日以上单独或者合计，是股东派生诉讼中的两种原告方。法律依据：《中华人民共和国公司法》第一百五十三条董事、高级管理人员违反法律、行政法规或者公司章程的规定、损害股东利益的，股东可以向人民法院提起诉讼。
