释义	法律分析：一、派生分立派生分立是指公司将一部分资产分出去另设一个或若干个新的公司，原公司存续。另设的新公司应办理开业登记，存续的原公司办理变更登记。二、新设分立新设分立是指公司将全部资产分别划归二个或二个以上的新公司，原公司解散。原公司办理注销登记，新设公司办理开业登记。法律依据：《中华人民共和国公司法》第一百七十五条公司分立，其财产作相应的分割。公司分立，应当编制资产负债表及财产清单。公司应当自作出分立决议之日起十日内通知债权人，并于三十日内在报纸上公告。
