释义	设立股份有限公司，必须达到法定的人数，应有2人以上200人以下的发起人。国有企业改建为股份有限公司的，发起人可以少于5人，但应当采取募集设立方式。规定发起人的最低限额，是设立股份有限公司的国际惯例。如果发起人的最低限额没有规定，一则发起人太少难以履行发起人的义务，二则防止少数发起人损害其他股东的合法权益。对发起人的最高限额则无规定的必要。法律依据: 《中华人民共和国公司法》第七十八条设立股份有限公司，应当有二人以上二百人以下为发起人，其中须有半数以上的发起人在中国境内有住所。
