释义	企业集团应当具备下列条件：一、企业集团的母公司注册资本在五千万元人民币以上，并至少拥有五家子公司；二、母公司和其子公司的注册资本总和在一亿元人民币以上；三、集团成员单位均具有法人资格。《中华人民共和国公司法》第十四条规定，公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
