释义	法律分析：发行人公开发行股票必须符合法律、行政法规规定的条件，并依法报中国证监会核准，未经依法核准不得公开发行。法律依据：《中华人民共和国证券法》第二十一条发行人申请首次公开发行股票的，在提交申请文件后，应当按照国务院证券监督管理机构的规定预先披露有关申请文件。第二十二条国务院证券监督管理机构设发行审核委员会，依法审核股票发行申请。发行审核委员会由国务院证券监督管理机构的专业人员和所聘请的该机构外的有关专家组成，以投票方式对股票发行申请进行表决，提出审核意见。
