释义	有限责任公司以其注册资本为限对所有债权人承担债务。依据《公司法》，有限责任公司股东承担责任以投资额为限。如果你没有虚假出资、欠缴出资、抽逃注册资本、转移公司财产等行为，就不必以其他财产来偿还公司债务。按照破产程序，应当通知并公告债权人登记债权。公司一般财产（非抵押物）处置所得顺序扣除破产费用、员工工资和安置费用、税金后不足偿付全部债务时由一般债权人按比例受偿。偿还债务有剩余由全体股东按照出资比例或公司章程规定分配。公告日起45日后未登记的债权可以不再偿还。
