总公司出问题分公司承担嘛？

分公司是总公司的组成部分，不具有独立的法人资格，因此也就没有承担责任的能力，不需要负刑事责任。当然，如果分公司中的某些人也积极参加了犯罪，那么该人要承担刑事责任。
【法律依据】：
《中华人民共和国公司法》第十四条 公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
