释义	无限责任公司是指股东对公司及其债务承担无限连带责任。也就是说，如果公司不能偿还债务时，由股东承担清偿责任。在我国，是不允许设立无限责任公司的，但却允许设立承担无限责任的企业，如个人独资企业、合伙企业。这些企业不是独立法人，所以不能成为公司，并且由企业业主直接承担无限的企业责任。法律依据《中华人民共和国公司法》第二条，本法所称公司是指依照本法在中国境内设立的有限责任公司和股份有限公司。
