释义	分公司负责人在法律上有对外代表分公司进行签约的权利，分公司负责人的签字一般亦对分公司具有约束力。分公司负责人在法律上一般不对外承担责任。依据公司法的规定，分公司不具有法人资格，所以分公司只有负责人，分公司的债务由总公司承担。法律依据《公司法》第十四条，公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
