法律分析：公司与总公司在商业行为上具备的法律效应是一致的，都是可以独立的根据自己的生产经营实际来进行签订合同的，但必须符合总公司制定的相关政策法规，否则是不予批准的。
法律依据：《中华人民共和国公司法》 第十四条 公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任
