法律分析：1、企业集团的母公司(核心企业)注册资本在5000万元人民币以上，并至少拥有5家子公司;2、母公司(核心企业)和其子公司的注册资本总和在1亿元人民币以上;3、企业集团的母公司(核心企业)应登记为有限责任公司或股份有限公司;全民所有制企业可以作为核心企业组建企业集团，但注册资金应在1亿元人民币以上;4、集团成员单位均具有法人资格。
法律依据：《企业集团登记管理暂行规定》第五条 企业集团应当具备下列条件：（一）企业集团的母公司注册资本在5000万元人民币以上，并至少拥有5家子公司；（二）母公司和其子公司的注册资本总和在1亿元人民币以上；（三）集团成员单位均具有法人资格。国家试点企业集团还应符合国务院确定的试点企业集团条件。
《中华人民共和国公司法》第二十三条 设立有限责任公司，应当具备下列条件：（一）股东符合法定人数；（二）有符合公司章程规定的全体股东认缴的出资额；（三）股东共同制定公司章程；（四）有公司名称，建立符合有限责任公司要求的组织机构；（五）有公司住所。
