释义	总公司公章是能够代表分公司的。在签订合同的时候，可以用总公司的盖章，分公司的签字。因为在一般的公司之中，分公司是没有公章的，只有总公司才有公章，这样也就证明该次合作是有总公司的授权，证明总公司的法人是需要负法律责任的。根据我国《公司法》规定，公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司与分公司不同，子公司具有法人资格，依法独立承担民事责任。
