释义	《公司法》第26条：公司全体股东的首次出资额不得低于注册资本的百分之二十，也不得低于法定的注册资本最低限额，其余部分由股东自公司成立之日起两年内缴足;其中，投资公司可以在五年内缴足。首先，投资入股，需要公司进行增资扩股，由股东会进行决议，签订协议，修改公司章程并办理相应的工商变更登记手续等。其次，有限责任公司股东入股后，除出现公司连续5年盈利不分红等情形外，不能要求公司退股返资。其若向退出公司，只能转让股份。若确实要投资的，建议签订增资扩股协议并依照法定程序办理手续。
