释义	法律分析：分公司是指在业务、资金、人事等方面受本公司管辖而不具有法人资格的分支机构。分公司属于分支机构，在法律上、经济上没有独立性，仅仅是总公司的附属机构。分公司没有自己的名称、章程，没有自己的财产，并以总公司的资产对分公司的债务承担法律责任。法律依据：《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
