释义	法律主观：两者有明显区别，外贸企业指单纯的进出口企业，自己不生产产品，从生产厂家进货，销售给外国，中间挣差价和退税。生产企业，是指也有外贸出口权，自己是生产厂家，但一般来说只能出自己工厂生产的产品。这种企业他不交增值税，他也没有退税，这就是所谓的不征不退。《中华人民共和国企业法人登记管理条例》　第十九条　企业法人分立、合并、迁移，应当在主管部门或者审批机关批准后30日内，向登记主管机关申请办理变更登记、开业登记或者注销登记。
