释义	有限责任公司股东之间可相互转让其全部或部分股权。认定出资瑕疵股东转让股权效力时，除当事人适格、股权可依法转让等法定条件外，尤其应根据受让人意思表示是否真实来处理。当转让人隐瞒出资瑕疵事实，受让人对此不知或不应知道时，转股协议属可变更、可撤销合同；如受让人明知或应知转让股东出资瑕疵事实，则转股协议应认定有效。法律依据《民法典》第一百四十八条
