释义	法律分析：分公司债务由总公司承担。因为根据相关法律规定，分公司虽领取营业执照，但是没有法人地位，民事责任由总公司承担。当然可以先由分公司的全部财产承担，不足的，再由总公司承担。法律依据：《中华人民共和国公司法》第一百一十五条公司不得直接或者通过子公司向董事、监事、高级管理人员提供借款。第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
