释义	法律分析：股权交易各方在签订股权转让协议并完成股权转让交易以后至企业变更股权登记之前，负有纳税义务或代扣代缴义务的转让方或受让方，应到主管税务机关办理纳税申报，并持税务机关开具的股权转让所得缴纳个人所得税完税凭证或免税、不征税证明，到工商行政管理部门办理股权变更登记手续。法律依据：《中华人民共和国公司法》第三十五条股东按照实缴的出资比例分取红利；公司新增资本时，股东有权优先按照实缴的出资比例认缴出资。但是，全体股东约定不按照出资比例分取红利或者不按照出资比例优先认缴出资的除外。
