释义	新法：有限责任公司连续5年盈利，并符合本法分配利润条件，但不向股东分配利润的，对股东会该项决议投反对票的股东可以要求公司以合理价格收购其股权。股东与公司不能达成收购协议的，股东可以向法院提起诉讼。增加理由：有些有限责任公司的大股东利用其对公司的控制权，长期不向股东分配利润，权益受损害的中小股东又无法像股份有限公司股东那样可以通过转让股份退出公司，致使中小股东的利益受到严重损害。因此，应当增加在特定条件下中小股东可以退出公司的规定。
