释义	【法律意见】变更后的公司对”原公司“的债权债务仍负法律责任。从实质上说，变更前后，公司的主体并没有变更，变更的只是公司的相关登记事项，但公司名称、法定代表人及经营范围的变更，并没有变更或消灭公司主体，所以公司仍然存在，因此从实质上，并不能说变更前的公司与变更后的公司，公司还是那个，并没有改变，这样，公司仍应承担过去的债权债务。公司主体变更、消灭包括分立、合并以及注销，只有在公司主体变更、消灭的情况下才会发生公司债权债务分担、转移等情形。
