释义	法律分析：股份公司注销需召开股东大会并做出同意解散公司的决议书。法人代表单方无权注销。股份公司的股东如退出，应有相应的退出机制回购其股份或者分红。股东退出需协商或者股东单方面要求，股东应得到相应财产。法律依据：《中华人民共和国民法典》第六十八条有下列原因之一并依法完成清算、注销登记的，法人终止：（一）法人解散；（二）法人被宣告破产；（三）法律规定的其他原因。法人终止，法律、行政法规规定须经有关机关批准的，依照其规定。
