释义	公司解散时，为终结现存的财产和其他法律关系，依照法定程序，对公司的财产和债权债务关系进行清理、处分和分配，了结其债权债务关系，从而消灭公司法人资格。公司除因合并或分立而解散外，其余原因引起的解散，须经过清算程序。根据《公司法》183条规定，公司因下列情形而解散的，应当在解散事由出现之日起15日内成立清算组，开始清算。(一)公司章程规定的解散事由出现(二)股东会或者股东大会决议解散(三)依法被吊销营业执照、责令关闭或者被撤销(四)股东请求而被司法解散。
