释义	法律分析：除非公司章程另有规定，否则不需要召开股东会。公司法71条规定了“股东向股东以外的人转让股权，应当经其他股东过半数同意”，并规定了征求其他股东同意的方式为发出书面通知。在章程没有另行规定的情况下，股东对外转让股权，只需据此向其他股东发通知，取得其他股东人数过半数同意即可。法律依据：《中华人民共和国公司法》第七十一条有限责任公司的股东之间可以相互转让其全部或者部分股权。股东向股东以外的人转让股权，应当经其他股东过半数同意。
