我国刑法变造股票债券罪的构成要件? |
| 释义 |
客体要件。本罪所侵害的客体与伪造、变造国家有价证券罪相同，亦为国家有关有价证券的管理制度。客观要件。本罪在客观方面表现为违反国家有价证券管理法规，伪造、变造股票或者公司、企业债券，数额较大的行为。所谓伪造、变造，已在伪造、变造国家有价证券罪中作过介绍，这里不再赘述。所谓股票，是由公司签发的证明股东所持股份的要式凭证。根据公司法规定，应当载明下列主要事项：（1）公司名称；（2）公司登记成立的日期；（3）股票种类、票面金额及代表的股份数，股票的编号等等。作为证权证券，作用是证明股东的权利，而不是创设权利。其制成必须依照法律规定的形式，其签发是由股份公司对缴纳股款的认股人所进行的。股票的发行价格既可以按票面金额，也可以超过票面金额，不过，无论如何不得低于票面金额。所谓公司、企业债券，是公司、企业依照法定程序发行的，约定在一定期限内还本付息的有价证券，是一种用以显示和证明与他人形成的金钱债务关系的证券。根据公司法的规定，债券必须载明公司的名称、债券面金额、利率、偿还期限等事项。所谓数额较大，是指伪造、变造股票或者公司、企业债券的面额较大。本罪不仅要求具有伪造、变造股票或者公司、企业债券的行为，而且还要达到数额较大的标准。缺少其一，都不能构成本罪。主体要件。本罪的主体为一般主体，既包括单位，又包括自然人即达到刑事责任年龄具有刑事责任能力的自然人。主观要件。本罪在主观方面必须出于故意，并且具有牟取非法利益的目的，过失不能构成本罪。
