释义	有限责任公司股权继承：公司章程有规定的按规定；继承人同意继承的，依照法定继承顺序进行继承，有遗嘱或其他约定的除外；继承人拒绝继承的，公司现有股东可以受让该股权，或者以公司名义收回该股权之后再行认购，股权重组。法律依据：《中华人民共和国公司法》第七十五条自然人股东死亡后，其合法继承人可以继承股东资格;但是，公司章程另有规定的除外。《中华人民共和国民法典》第一千一百二十三条继承开始后，按照法定继承办理；有遗嘱的，按照遗嘱继承或者遗赠办理；有遗赠抚养协议的，按照协议办理。
