股份有限公司转让股权需要通知其他股东吗 -法律知识 |

法律分析：
不需经董事会或股东大会决议，按《公司法》规定程序办理即可。但有下列情形需慎重对待：
第一，公司章程规定股东不得向股东以外的人转让股权的，而股东放弃优先购买权的，此时股东股权转让不可能，是由公司收购，还是通过临时决议同意股东转让股权，需经董事会或股东大会审议。
第二，公司控制股东拟转让股权，为保护其他股东利益，公司最好进行审计、评估，以免大股东侵害其他股东情况发生，亦需董事会、股东大会对大股东进行定性、评价。
第三，公司对外投资的股权欲转让的，须经董事会乃股东大会进行审议，作为公司大事项对待，应经审议作出决定。
法律依据：
《中华人民共和国公司法》 第七十一条 股权转让有限责任公司的股东之间可以相互转让其全部或者部分股权。 股东向股东以外的人转让股权，应当经其他股东过半数同意。股东应就其股权转让事项书面通知其他股东征求同意，其他股东自接到书面通知之日起满三十日未答复的，视为同意转让。其他股东半数以上不同意转让的，不同意的股东应当购买该转让的股权;不购买的，视为同意转让。 经股东同意转让的股权，在同等条件下，其他股东有优先购买权。两个以上股东主张行使优先购买权的，协商确定各自的购买比例;协商不成的，按照转让时各自的出资比例行使优先购买权。 公司章程对股权转让另有规定的，从其规定。
