释义	自从新公司法生效后，公司注册资本制度从原来的实缴登记制改为认缴登记制，企业在办理营业执照时，工商局作为登记机关依照新公司法规章不再要求企业提供验资报告。因此，公司注册资本金的多些以及注册资本认缴期限都由股东自行约定，股东协商一致后在公司章程中载明，公司法并未对认缴出资期限作出强制性规章。但是工商局在登记时可以依法进行合理性审查，对于公司章程中规章认缴出资期限超出公司经营期限的，工商局可以要求企业相应缩短认缴出资期限，或者相应延长公司经营期限。
