释义	法律分析：普通清算，是指公司自愿解散后，由公司股东或股东（大）会确定的人员组成清算组织，依法定程序自行进行清算。公司因章程规定的营业期限届满或者公司章程规定的解散事由出现，公司因股东（大）会决议解散，公司因设立的宗旨业已实现或根据无法实现而解散，公司因国家授权投资的机构或者国家授权的部门决定解散等，都适用普通清算。法律依据：《中华人民共和国公司法》第一百九十一条本法所称外国公司是指依照外国法律在中国境外设立的公司。
