公司法中股东撤资如何清算 |

根据公司法规定得知，股份公司的注册资金是由各个股东出资进行注册的，一旦注册成功，注册资金是不允许撤回的。对于清算的行为，除非企业经营状况非常差，要准备解散，才可以实行清算程序。想要拿回资金只能通过其他方式拿回。
1、减少注册资金注销股权：由于注册资金不可以随意撤回，所以只能通过减少注册资金的方式拿回。但这种方式还需要走公司的章程，同时还要经得其他股东的同意才可以。由于消耗的时间比较多，而且程序麻烦，不建议采取。
2、股权转让：这是目前最快速拿回资金的方式，也是最简单的方式，前提是有人愿意出资买下股权。
这两种方式是目前能拿回股权资金的方法，其中股权转让是最多人选择，也是最容易的办理方式。
二、股权转让的对象可以有哪些？
1、转让的对象可以是公司股东外的第三人：这种方式的股权转让需要经过其他股东同意后才可以办理转权手续。其中对于转让的股权份额、价格、往后各自的义务与责任都需要在转让协议里面说清楚，毕竟涉及到双方的利益。
2、转让的对象可以是公司的其他股东：这种转让的方式不用得到其他股东的认可，只要通知他们和谁办理转让就可以了。
如果转让的对象是第三人，涉及的程序比较多，其中对于转让的股权份额、价格、往后各自承担的义务与责任都需要在转让协议里面说清楚，毕竟涉及到双方的利益。
