释义	法律分析: 分公司与总公司并非两个独立的法人单位，是一个单位。分公司是总公司的一部分而已。分公司不是独立的法人单位，只是一个有执照的分支机构，分公司没有法定代表人，那个叫“负责人”，在分公司执照上的负责人可以与总公司的法定代表人不同，也可以相同。法律依据: 《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
