释义	法律分析：指公司解散时，为终结现存的财产和其他法律关系，依照法定程序，对公司的财产和债权债务关系进行清理、处分和分配，以了结其债权债务关系，从而剥夺公司法人资格的法律行为。公司除因合并或分立而解散外，其余原因引起的解散，均须经过清算程序。法律依据：《公司法》第一百八十七条清算组在清理公司财产、编制资产负债表和财产清单后，发现公司财产不足清偿债务的，应当依法向人民法院申请宣告破产。公司经人民法院裁定宣告破产后，清算组应当将清算事务移交给人民法院。
