释义	法律分析: 有限公司不按出资比例进行分红的约定，公司法明确规定为有效，但需明确需得到全体股东一致同意，否则会面临有关分红的公司决议无效的情形。另外，股东间不按照出资比例分红的约定，不仅可以通过股东会决议作出，也可以事先在公司章程中约定。法律依据: 《中华人民共和国公司法》第三十四条股东按照实缴的出资比例分取红利;公司新增资本时，股东有权优先按照实缴的出资比例认缴出资。但是，全体股东约定不按照出资比例分取红利或者不按照出资比例优先认缴出资的除外。
