释义	子公司不能代表母公司签合同。子公司与母公司是两个完全独立的民事主体，他们各自以自己的名义进行民事活动，对外签订合同。所以除非子公司获得了母公司的授权，否则不能代表母公司签订合同。法律依据《公司法》第十四条，公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
