释义	法律分析：（1）有符合规定的名称；（2）营业场所在公司住所之外；（3）分公司的经营范围不超出公司的经营范围；（4）法律、行政法规、国务院决定所规定设立分公司必须报经审批的，应当取得有关部门的批准。法律依据：《中华人民共和国公司法》第十四条公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
