办理公司登记时虚报注册资金、提交虚假证明文件或者采取其他欺诈手段隐瞒重要事实取得公司登记的，公司的发起人、股东未交付货币、实物或者未转移财产权，虚假出资，欺骗债权人和社会公众，应承担责令改正、罚款或者撤销公司登记责任，情节严重的依法追究其刑事责任。
【法律依据】：
《中华人民共和国公司法》 第九十三条 股份有限公司成立后，发起人未按照公司章程的规定缴足出资的，应当补缴；其他发起人承担连带责任。
