买受人在与开发商订立商品房预售合同后，开发商(出卖人)没有取得商品房预售许可证明的， 该商品房预售合同无效，买受人可以要求出卖人返还预付款和赔偿自己的损失。 但是如果在买受人起诉前取得了商品房预售许可证明的，合同可以认定有效。

《商品房销售管理办法》 第五条 国务院建设行政主管部门负责全国商品房的销售管理工作。 省、自治区人民政府建设行政主管部门负责本行政区域内商品房的销售管理工作。
