释义	法律分析：注册资金就是企业全部财产的货币表现，是企业从事生产经营活动的物质基础，是登记主管机关核定经营范围和方式的主要依据。公司法将注册资本实缴登记制改为认缴登记制，采取公司股东(发起人)自主约定认缴出资额、出资方式、出资期限等，并记载于公司章程的方式。法律依据：《中华人民共和国公司法》第二十六条有限责任公司的注册资本为在公司登记机关登记的全体股东认缴的出资额。法律、行政法规以及国务院决定对有限责任公司注册资本实缴、注册资本最低限额另有规定的，从其规定。
