律师分析:
(一)标题；
(二)前言；
交代辩护人的合法地位。同时简要说明辩护人事前进行了哪些工作，如查阅案卷，了解案情，同在押的被告会见或通信等(多限于律师)。在前言的最后，可概括说明辩护人对此案件的基本观点。如认为公诉人指控被告的犯罪事实不能成立，或定罪不当，等等。
(三)辩护理由；
这是"辩护词"的主体部分，从事实上、从法律上、从被告的认罪态度上提出辩护理由。具体可从分析公诉人所提出的被告的犯罪事实是否能成立等方面提出辩护理由;或者运用法律定罪量刑上提出意见，针对起诉书中提出的罪名发表意见;认罪态度主要是根据党的"坦白从宽，抗拒从严"的政策，提出可以从轻的理由。
(四)结尾。归结辩护理由，提出有关判处被告的建议。
(五)写明辩护人姓名，并注明具体日期。

第四十八条 公民、法人，和其他组织可以作为民事诉讼的当事人。
法人，由其法定代表人进行诉讼。其他组织由其主要负责人进行诉讼。
第四十九条 当事人有权委托代理人，提出回避申请，收集、提供证据，进行辩论，请求调解，提起上诉，申请执行。
当事人可以查阅本案有关材料，并可以复制本案有关材料和法律文书。查阅、复制本案有关材料的范围和办法由最高人民法院规定。
当事人必须依法行使诉讼权利，遵守诉讼秩序，履行发生法律效力的判决书、裁定书和调解书。
