释义	法律分析：继承股权的不一定要办理公证。依据我国公司法的规定，公司的股东死亡后，合法的继承人是有权继承股权的，但公司章程有规定的除外。也就是不一定需要办理公证的。法律依据：《中华人民共和国公司法》第七十三条依照本法第七十一条、第七十二条转让股权后，公司应当注销原股东的出资证明书，向新股东签发出资证明书，并相应修改公司章程和股东名册中有关股东及其出资额的记载。对公司章程的该项修改不需再由股东会表决。第七十五条自然人股东死亡后，其合法继承人可以继承股东资格；但是，公司章程另有规定的除外。
