释义	法律主观：在公司制的组织形式下，股东以出资为限承担有限公司，公司以全部资产承担责任。如果是公司的债务，与公司的股东以及法定代表人均无关系，应由公司负责偿还。在特殊情形下，股东可能会承担清偿责任。一是股东认缴的出资尚未缴足的，在未实缴金额限额内承担责任。二是股东利用公司独立地位以及股东有限责任，逃避债务，严重损害债权人利益的，可以刺破公司法人面纱，由股东承担连带责任。
