分公司直接可以变更为子公司吗 |

分公司不可以变更为子公司。分公司属于公司的分支机构，不是独立的法人，不能直接进行变更登记为子公司。分公司变更子公司可先注销分公司，再成立子公司。
注销分公司程序如下：
1、到分公司所在工商局领取《分公司注销登记申请书》；
2、准备注销登记的相关材料。包括申请书、经办人身份证、公司决议、营业执照、银行清户证明、完税证明、分公司公章等，以当地工商局要求为准；
3、提交资料和申请书，工商局核准后进行分公司撤销备案。
成立子公司程序如下：
1、到工商局领取设立企业的相关表格并进行填写，如《企业设立登记申请书》《企业设立登记申请表》等；
2、携带法人身份证、经办人身份证和分公司名称填写《名称预先核准申请书》，审批通过后拿到《企业名称预先核准通知书》；
3、准备好注册资料，递交分公司所在地的工商局进行注册申请。等领取到营业执照后30日办理组织机构代码证和税务登记证。注册资料一般包括总公司拨款证明、任命文件、总公司章程、公司拨付给分公司使用的资金数额证明文件等，以当地工商局要求为准。

《中华人民共和国公司法》第十四条
公司可以设立分公司。设立分公司，应当向公司登记机关申请登记，领取营业执照。分公司不具有法人资格，其民事责任由公司承担。
公司可以设立子公司，子公司具有法人资格，依法独立承担民事责任。
