释义	法律分析：公司变更分为形式上和内容上，公司合井分为吸收合并与新设合并两种方式，形式上的变更不影响公司变更登记之前的债权债务，仍由公司享有和承担。内容上组织形式的变更也不影响公司对其债务的承担，而企业法人分立、合井，它的债权债务由变更后的法人享有和承担。法律依据：《中华人民共和国公司法》第一百七十六条公司分立前的债务由分立后的公司承担连带责任。但是，公司在分立前与债权人就债务清偿达成的书面协议另有约定的除外。
