释义	就一般的有限责任公司而言，公司的债务需要以公司财产进行清偿，不需要以法人个人财产清偿。但是如果法人存在侵占公司财产的行为等，在出现债务问题时，侵占的财产需要返还。如果法人同时是公司股东，认缴未缴的出资也要进行清缴。对于合伙企业而言，合伙人需要对公司债务承担连带赔偿责任。《中华人民共和国民法典》第六十条法人以其全部财产独立承担民事责任。
