释义	根据《证券法》第一百二十四条，设立证券公司，应当具备下列条件：（一）有符合法律、行政法规规定的公司章程；（二）主要股东具有持续盈利能力，信誉良好，最近三年无重大违法违规记录，净资产不低于人民币二亿元；（三）有符合本法规定的注册资本；（四）董事、监事、高级管理人员具备任职资格，从业人员具有证券从业资格；（五）有完善的风险管理与内部控制制度；（六）有合格的经营场所和业务设施；（七）法律、行政法规规定的和经国务院批准的国务院证券监督管理机构规定的其他条件。
