股权转让可以折价吗

股权可以折价转让，而且在股权折价转让时章程出资金额是不需要修改的，因为章程出资金额与股权折价转让没有必然的联系，只有在增加或者减少出资金额的情况下能修改章程出资金额。

《中华人民共和国公司法》
第一百三十七条股东持有的股份可以依法转让。
第一百三十八条股东转让其股份，应当在依法设立的证券交易场所进行或者按照国务院规定的其他方式进行。
