释义	法律分析：代位履职。物上代位性，是指当担保物因他人之侵害而灭失、毁损时，债务人所得之赔偿金应作为代位物继续为债权之担保，债权人得对该代位物优先取偿。对于债务人转让担保物所得价款以及担保物因有损坏、贬值之虞而提前处分所得之价款或担保人另行提供的担保物，债权人亦同样有物上代位权。法律依据：《中华人民共和国民法典》第五百二十三条当事人约定由第三人向债权人履行债务的，第三人不履行债务或者履行债务不符合约定，债务人应当向债权人承担违约责任。
