释义	根据《公司法》第34条规定：股东按照实缴的出资比例分取红利。但，全体股东约定不按照出资比例分取红利的除外。且，公司收益的分配是有法定顺序的，首先要弥补亏损，然后提取法定公积金，最后所余利润分配给股东。一般地说来,股东可以以三种形式实现分红权：1、以上市公司当年利润派发现金；2、以公司当年利润派发新股；3、以公司盈余公积金转增股本。
